What we offer

We buy your company. We agree the price and pay in full

AL PARI INDUSTRIES buys manufacturing and mining companies directly, with the investment capital of the Group.

  1. Getting to know the company

We study the company’s operations, production capacity, financial results, asset base and key documents.

  2. Valuation and agreeing terms

We analyse the economics of the business, work out the best structure for the acquisition, and agree the price and key terms of the deal with the owner.

  3. Acquisition and payment

We complete the acquisition of the company’s corporate rights or specified assets and pay in full under the agreed terms of the deal.

Our own investment capital

AL PARI GROUP’s investment activity rests on its own assets, its record of completed investment projects and its active international trade in Ukrainian products.

The reality of ownership

Owning a company means more than profit: it means constant decisions, investment and risk

An industrial company is a complex production business that needs constant management, funding and adaptation to a changing market.

Production risks
Power supply interruptions, the condition of equipment, unplanned downtime and the need to keep production running without a break.
Sales markets and logistics
Changes in demand, product prices, export conditions, transport routes and logistics costs directly affect the company’s profitability.
Modernisation and working capital
Renewing equipment, expanding production capacity, buying raw materials and funding the operating cycle all require extra investment.
Operational management
Managing staff, production processes, supply, costs and contract performance calls for the constant involvement of the owner or the management team.

Selling the company lets the owner raise investment capital for new opportunities and hand further management to a new owner.

Valuation

A company’s value is set by its economics, its assets and its potential for growth

AL PARI INDUSTRIES values each company individually, taking into account its results, production capabilities, asset structure and prospects for further growth.

The company’s current economics

  1. Revenue and orders

Actual sales volumes, current contracts, customer structure, stability of demand and the markets for the products.

  2. Operating costs

Costs of raw materials, energy, staff, logistics, equipment upkeep and keeping the production process running.

  3. Financial result

Operating profit, cash flow and the company’s ability to generate income steadily.

Additional valuation factors

Tangible assets

Production property, land plots, equipment, engineering infrastructure and the company’s other assets.

Liabilities and investment needs

Loan obligations, receivables and payables, the need for working capital and for modernising production.

Legal and operating status

Ownership structure, rights to assets and land, required permits and the specifics of the company’s business.

An individual offer

Based on the valuation, we prepare an individual offer on the company’s price, the structure of the acquisition and the terms of payment.

We take into account the specifics of the company, its ownership structure and asset base, and agree individual terms for the acquisition, payment and transfer of rights.

07

Protection from military risks

Selling the company lets the owner turn the value of industrial assets into cash and reduce exposure to military risks linked to possible damage to, destruction of or stoppage of production capacity.

Acquisition process · Three stages

From first contact to acquiring the company: three stages in order

General information about the company is enough to start negotiations. A full set of documents is not needed at the first stage.

  1. Stage 1

    You present the company

You provide general information on the line of business, location, products, production capacity, main assets, financial indicators and the expected value of the company.

  2. Stage 2

We study the business and agree terms

We carry out a preliminary valuation of the company, establish our investment interest and discuss the possible price and structure of the acquisition.

Once the terms are agreed in principle, we arrange a financial, legal and technical review of the company.

  3. Stage 3

We sign the deal and pay

We agree the final terms of the acquisition, prepare the necessary contracts, arrange the transfer of corporate rights or specified assets and pay in full under the terms of the deal.

Acquisition of the company
Transfer of corporate rights or assets Full payment of the agreed value

The way rights are transferred, and the timing and terms of payment, are set individually for each deal.
